As fiscal year 2025 winds down, Congress has not yet passed full appropriations or a continuing resolution, raising the likelihood of a federal government shutdown. For contractors, the uncertainty can create significant challenges, but careful preparation can reduce the impact.
A shutdown affects contractors in several ways. Under the Anti-Deficiency Act, agencies cannot obligate funds that have not been appropriated. This means contracts that depend on incremental funding are particularly vulnerable, while those fully funded in advance or deemed essential may continue. Agencies also have the authority to issue stop-work or suspension orders. Contractors must comply with these directives and avoid performing unauthorized work, as reimbursement is not guaranteed. Even for projects that remain active, delays in contract approvals, invoice processing, and payments are likely, which can create cash-flow strain for many businesses.
Workforce challenges also come into play. Prime contractors must communicate clearly with subcontractors and may need to manage idle staff during the lapse. Unlike federal employees, contractors typically do not receive back pay for the time lost. Another often overlooked risk is that deadlines for proposals or litigation may not be paused automatically, so businesses must remain vigilant to avoid missing critical submissions.
The best defense is preparation. Contractors should review their agreements carefully, open dialogue with contracting officers, forecast the financial impact of a prolonged shutdown, and keep detailed records of all communications and costs. Clear communication with employees and subcontractors is equally important. Those who plan ahead will be best positioned to withstand the disruption and resume operations smoothly once funding is restored.
